Clear responsibilities, from account to settlement. These terms explain our role, merchant responsibilities, payment and subscription conditions, refunds and service access. Purchase-specific information and mandatory consumer rights also apply.
1. About these terms
These terms govern access to the Mixpayer website, merchant console and related supported services provided by TENG CHI LIMITED (“Mixpayer”, “we”, “us”), at Room 5047, 5/F, Yau Lee Centre, 45 Hoi Yuen Road, Kwun Tong, Hong Kong. By creating an account or using services covered by these terms, you agree to them. If you act for a business, you must have authority to bind it.
A separate signed merchant or partner agreement may set out additional commercial terms and takes priority for matters it specifically addresses. Mandatory legal and consumer rights continue to apply.
2. Our services and role
Mixpayer provides tools for merchant websites, product and price configuration, checkout, payment coordination, customer order records, promotions, subscriptions or entitlements, and settlement operations. Availability depends on the merchant, market, supported providers, account approval and service configuration.
The identity of the seller and responsibility for a purchase are determined by the checkout, receipt and applicable commercial agreement. Use of Mixpayer alone does not mean that we are the seller or merchant of record for every product. The merchant remains responsible for the product and its delivery unless an applicable agreement expressly states otherwise.
3. Accounts and verification
Provide accurate and current account, business, website and payout information, and keep your credentials and API keys secure. You are responsible for authorised users and activity performed through your account. Notify us promptly of suspected unauthorised access.
Merchant identity or business verification may be required before services or payouts become available. We or a relevant provider may request supporting information. We may restrict access while material information is incomplete, inaccurate, no longer current or inconsistent with applicable requirements.
4. Merchant responsibilities
- Have the rights and permissions needed to offer your products and operate your websites.
- Describe products, pricing, currency, credit or usage quantities, billing periods, renewal behaviour and refund conditions accurately before purchase.
- Deliver products and purchased entitlements, provide accessible support and handle customer enquiries.
- Keep your integration, return URLs and webhook endpoints working; confirm verified order status before granting a purchase.
- Publish appropriate product terms and privacy information, obtain required permissions and provide information needed to address disputes.
You remain responsible for obligations that apply to your business and are not expressly undertaken by Mixpayer under your agreement.
5. Prices, payments and fees
Customers should review the product, amount, currency, tax information and selected payment method before paying. Discounts, coupon eligibility and pricing are checked by the service; a display, browser redirect or submitted payment request is not by itself proof that payment succeeded.
Merchant service fees are described in the pricing page or the applicable commercial agreement. Additional payment, foreign-exchange, refund or dispute charges apply only as disclosed or agreed. Currency conversion, where offered, is subject to the displayed or agreed terms.
Payment services depend on the relevant provider and financial institutions. A transaction may be declined, delayed, reviewed or reversed according to applicable rules. Keep the order reference when contacting support.
6. Subscriptions, credits and cancellation
The product listing and checkout describe the period, quantity and benefits being purchased. A weekly, monthly or yearly entitlement does not by itself establish an automatic recurring-payment mandate. Where automatic renewal is offered, its price, timing and cancellation conditions must be disclosed and the required authorisation obtained.
Use the available customer order or subscription controls, or contact the merchant, to request cancellation. Cancellation takes effect according to the purchase terms and confirmed status. It does not automatically reverse an earlier payment. Credit expiry, usage restrictions and any carry-over rules must be disclosed by the merchant.
7. Refunds and disputes
Contact the merchant identified in your order for product questions, delivery issues or refund requests. Include your order reference and a description of the issue; avoid sending full payment-card details by email. Mixpayer may help with payment records and the refund or dispute workflow.
Where a mandatory withdrawal or cancellation right applies, it takes priority over a product’s refund policy. If immediate delivery of digital content requires separate express consent and acknowledgement concerning that right, a general acceptance of these terms does not replace that consent.
Refund eligibility is governed by the product’s disclosed conditions, the applicable agreement and mandatory consumer rights. A refund is complete when confirmed through the relevant payment process. Bank or wallet processing times can vary; a refund request alone is not confirmation that funds have arrived.
Merchants must cooperate with reasonable requests for delivery or transaction evidence and with applicable dispute procedures.
8. Settlements and withdrawals
Merchant balances, settlement availability and payment timing follow the applicable agreement and confirmed upstream settlement information. A T-plus-several-weeks cycle may apply. Gross sales and pending balances are not a promise of immediately withdrawable funds.
Withdrawals require an eligible, supported receiving account and an approved request where applicable. Review, refunds, chargebacks, agreed reserves, compliance requirements or incomplete account details can affect the amount or timing of a payout. You are responsible for accurate receiving-account details and reporting discrepancies promptly.
9. Acceptable use
Do not use the service for unlawful or infringing products, fraud, impersonation, deceptive billing, money laundering, prohibited activity under a relevant provider’s rules, or attempts to evade verification or financial controls.
Do not interfere with systems, test stolen credentials, scrape personal information without authority, misuse another merchant’s brand, or expose private keys and customer information. We may refuse, restrict or suspend activity reasonably necessary to address misuse or meet legal and provider requirements.
10. Data, integrations and intellectual property
Our privacy policy describes relevant information handling. Merchants must have authority to provide customer information to the service and limit that information to what is needed. API access and callbacks must be implemented securely; test credentials and test-mode results must not be presented as live payments.
Each party retains its own intellectual property. You give us the permission needed to host and display the product, brand and website information you submit for providing the service. This does not transfer ownership of your product or grant a general right to use Mixpayer branding outside an authorised integration or agreement.
11. Availability, suspension and closure
We work to maintain the service, but access may be interrupted for maintenance, security, provider outages or events outside our reasonable control. Features and available methods may change as providers, laws and product requirements change.
You can request account closure through support. We may suspend or terminate access for material breach, non-payment, fraud, legal requirements or a significant security or financial risk. Where appropriate and lawful, we will explain the issue and what is needed to resolve it. Closure does not remove outstanding obligations or records that must be retained.
12. Responsibility and legal rights
Each party is responsible for its own obligations under the applicable agreement. To the extent permitted by law, Mixpayer does not guarantee uninterrupted service or a merchant’s product performance and is not responsible for indirect or consequential loss. Any specific commercial limits on liability are set out in the applicable agreement.
Nothing in these terms excludes liability that cannot lawfully be excluded, including applicable liability for fraud or wilful misconduct, or removes mandatory consumer rights.
13. Governing law and changes
Subject to mandatory applicable law, these terms are governed by the laws of Hong Kong and disputes are subject to the jurisdiction of its competent courts. Mandatory consumer protections and any non-waivable rights concerning governing law or jurisdiction remain unaffected.
We may update these terms and publish the effective version on this page. Where required, material changes will be notified in advance and any necessary agreement obtained. Contact us if you have a concern about a change or an existing transaction.
